my 04 s4 with 107k decided to develop timing problems on bank 1... cyl 8 has 0 compression and 3 and 6 have 70psi... i found a low mileage 06 toureg v8... will this work in my 04 s4 6mt?

Nope. The S4's 4.2 was only used in C5 Allroads, B6/B7 S4s and C6 A6s.
