it is in Auburn, WA and I might check it out to purchase. What do you think? Price decent? I know the miles are a bit higher but it has some nice upgrades...

If you value those mods, that's not too bad.
If you don't care, keep looking. You can find one cheaper with that mileage.

no kidding, i just bought an '05 with 50k miles for $22k. i guess the economy and gas prices are really taking a toll on their resale.

Price will vary by region. I do agree with the others though, the economy and gas prices are making the resale on these take a beating right now.
I personally think the S4 in the original post is overpriced. But maybe on the west coast they are still selling for higher/normal prices.

ok, you suggest I offer lower?

Well, for starters, KBB has it valued around 22.4K in "good" condition for private party value. I'd start at $22K, but that's just me. Worst he can do is say no. If he wants more, that's his opinion, but he should be able to explain to you why he thinks it's more valuable and then you should consider his opinion to see if you agree and maybe offer a little more. That's how negotiation works. Who knows, maybe he'll accept the $22K if he just has it listed high to make sure he gets KBB.

22k would be low balling the guy. 22k is what you could expect for dealer trade in with a bit of negotiation for a b6 with that many miles. Considering the mods which are in fact tasteful he can easily get 24-25 for that car. Id start at 23,500 and negotiate up to 24,500 if i were interested in that car. Just for reference i paid 28 for my stock b6 with 28k 8 months ago.

I just paid $4000 below what KBB states is the value of my B6 S4 Avant when I bought it...
jdmnomore, Aftermarket parts don't raise the value of a car. In fact, some feel they diminish the value. If he was smart he would take all that aftermarket stuff off and sell it separate from the car.
KBB is the perfect place to start. Maybe you think you could find that at a dealer, but that was KBB Private Party value I quoted. They are experts on value, much more so than you or me. With gas prices the way they are and this nasty economy I think KBB is a very, very fair place to start.
